1. Agreement to Terms

By accessing and using CMX Cloud services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily access the materials on CMX Cloud's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on CMX Cloud's website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Service Availability

CMX Cloud strives to ensure that our services are available 24/7, but we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. Scheduled maintenance will be communicated in advance when possible.

4. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.

5. Data Security and Privacy

CMX Cloud is committed to protecting your data. We implement industry-standard security measures to protect your information. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your data.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CMX Cloud and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Payment Terms

If you purchase a subscription or other paid service, you agree to pay all fees associated with your account. Fees are billed in advance on a monthly or annual basis, as applicable. All fees are non-refundable except as required by law or as otherwise stated in our refund policy.

We reserve the right to change our pricing with 30 days' notice. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.

8. Limitation of Liability

In no event shall CMX Cloud, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless CMX Cloud and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

11. Governing Law

These Terms shall be interpreted and governed by the laws of the Philippines, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
